This Agreement is entered into on the 23 day of April, 2012 (the “Effective Date”) by and between

EMIRATES, (trading as Skywards),a corporation established by Dubai Ruler’s Decree No. 2 of 1985 (as amended) having its principal office at Emirates Group Headquarters, Airport Road, P.O. Box 686, Dubai, United Arab Emirates (“Emirates”);

and

Larry Carumba, residing at 2nd Floor, Room 13, Middle East Commercial Center, Al-Khobar, Kingdom of Saudi Arabia ("Artist")

(referred to collectively as the “Parties” and individually as the “Party”)

WHEREAS Emirates conducted a competition titled “Skywards Future Artists” (the “Competition”) in which entrants submitted pieces of their original artwork for the chance to have the Work displayed on Skywards membership cards;

WHEREAS Emirates has selected and wishes to purchase the artwork submitted by the Artist for the Competition as set forth in Exhibit B attached to this Agreement (the “Work”);
